1. Company Information
These terms govern your use of services provided by Fractl FZC LLC (License No. 4426398), registered at Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates ("Fractl Labs", "we", "us").
2. Services
Fractl Labs provides software product development services, strategic advisory, and software-as-a-service products. The specific scope, deliverables, and timelines for any engagement are agreed upon separately in writing before work begins.
3. Payment
Fees for services are agreed upon in advance and invoiced accordingly. Payments are processed via Stripe. All fees are quoted in the currency specified in the relevant agreement and are due within the timeframe stated on the invoice.
4. Intellectual Property
Unless otherwise agreed in writing, all intellectual property created as part of a client engagement is assigned to the client upon full payment. Fractl Labs retains the right to use general knowledge, techniques, and non-confidential methodologies developed during the engagement.
5. Limitation of Liability
To the maximum extent permitted by law, Fractl Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability for any claim shall not exceed the amounts paid by you for the services giving rise to the claim during the twelve months preceding the claim.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of any agreement between the parties.
7. Governing Law
These terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.
